LANDRY'S RESTAURANTS ACQUIRES C. A. MUER RESTAURANTS: Company Acquires Popular East Coast Seafood Restaurants

Houston, Texas - SEPTEMBER 30, 2002

HOUSTON - In early 2002, Landry's Restaurants Inc., the second-largest and fastest growing casual-dining, full-service seafood chain in the country, announced the acquisition of Detroit-based C. A. Muer Corporation.

In the transaction, Landry's acquired 16 fine dining and upscale casual seafood establishments in six states, with restaurants that operate under the names Charley's Crab, Gandy Dancer, The Grand Concourse, Big Fish, and Chuck & Harold's. The upscale eateries are located at some of the most unique, high profile and landmark locations in the country.

"We have been following the Muer chain since the tragic death of its founder, Chuck Muer, in 1993," said Tilman Fertitta, chairman, president and chief executive officer of Landry's Restaurants Inc. "The C. A. Muer Corporation has developed a well-recognized brand name and restaurant concept and we feel the creative and innovative forces in both companies create a dynamic and exciting element in the restaurant

industry," he added. "With the addition of these 21 restaurants to the Landry's Restaurant chain, we are able to offer an even greater variety of dining choices for the entire family," he added.

From the dazzling, 500-seat Grand Concourse in the former Pittsburgh & Lake Erie Railroad Station - which is on the National Register of Historic Sites - to the Gandy Dancer located in the beautifully restored 1886 Michigan Central Railroad Depot, to the waterfront Charley's Crabs located along the infamous Florida inter-coastal waterway, to the trendy Chuck & Harold's found in the heart of tony Palm Beach, the restaurants offer fine food and service to guests throughout the country.

Landry's Restaurants Inc., is the nation's second largest and fastest growing casual-dining, full-service seafood restaurant chain. Publicly traded on the New York Stock Exchange, Landry's owns and operates approximately 279 restaurants, including Landry's Seafood House, Joe's Crab Shack, The Crab House, Rainforest Café, Charley's Crab, Willie G's Seafood & Steak House, The Chart House, and Saltgrass Steak House, as well as Kemah Boardwalk, a magnificent 40-acre, family-oriented themed entertainment destination. The company employs 28,000 workers in 36 states.
